Terms of Service

By accessing or using syfrah ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and SYFRAH CONSULTING, a French société par actions simplifiée registered under SIREN 953 278 553, with its registered office in Paris, France ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

syfrah is a clinical trials intelligence platform that provides: • Access to aggregated clinical trial data from multiple global registries • Search and filtering capabilities across 500,000+ clinical trials • Sponsor analytics and competitive intelligence tools • Key Opinion Leader (KOL) network visualization • AI-powered enrollment predictions and analytics • Data export and API access (depending on subscription tier) The Service is intended for professional use by pharmaceutical companies, biotechnology firms, contract research organizations (CROs), academic institutions, and healthcare professionals involved in clinical research.

To access certain features of the Service, you must create an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your password secure and confidential • Accept responsibility for all activities under your account • Notify us immediately of any unauthorized use of your account You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4.1 Subscription Plans Paid subscriptions are offered on a monthly or annual basis. Current pricing and features for each plan are available on our Pricing page. Prices are subject to change with 30 days' notice. 4.2 Payment Terms • All fees are charged in advance for each subscription period • Payments are processed securely through our payment provider (Stripe) • You authorize us to charge your payment method for all applicable fees • Failed payments may result in suspension of your account 4.3 Refunds We offer a 30-day money-back guarantee for new subscribers. After 30 days, refunds are granted at our sole discretion. Annual subscriptions may receive prorated refunds for unused months if cancelled within the first 90 days. 4.4 Taxes All prices are exclusive of applicable taxes. You are responsible for paying any taxes associated with your subscription.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to: • Use the Service in any way that violates applicable laws or regulations • Attempt to gain unauthorized access to any part of the Service • Interfere with or disrupt the Service or servers/networks connected to it • Use any automated system (bots, scrapers) to access the Service without our permission • Reproduce, duplicate, copy, sell, or resell any portion of the Service • Reverse engineer, decompile, or disassemble any part of the Service • Use the Service to harass, abuse, or harm others • Transmit any malware, viruses, or malicious code • Circumvent any access controls or usage limitations • Share your account credentials with unauthorized third parties • Exceed API rate limits or abuse the API in any way Violation of these restrictions may result in immediate termination of your account without refund.

6.1 Clinical Trial Data The clinical trial data provided through the Service is aggregated from publicly available sources including ClinicalTrials.gov, WHO ICTRP, EU Clinical Trials Register, and other global registries. While we strive for accuracy, we do not guarantee the completeness, accuracy, or timeliness of this data. You should verify critical information through primary sources. 6.2 Your Data You retain ownership of any data you upload or create within the Service (saved searches, annotations, exports). We claim no ownership over your data. 6.3 Data Processing By using the Service, you consent to the collection, processing, and storage of data as described in our Privacy Policy. 6.4 Data Accuracy The Service is provided for informational purposes only. It should not be used as the sole basis for clinical, regulatory, or business decisions. We are not liable for decisions made based on data provided through the Service.

7.1 Our Intellectual Property The Service, including its software, design, logos, features, and documentation, is owned by SYFRAH CONSULTING and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission. 7.2 License Grant Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during your subscription period. 7.3 Feedback If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without restriction or compensation. 7.4 Third-Party Content The Service may contain links to third-party websites or content. We are not responsible for the availability, accuracy, or content of these external resources.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, we disclaim all warranties including: • Merchantability and fitness for a particular purpose • Non-infringement • Accuracy, reliability, or completeness of the Service • Uninterrupted or error-free operation • Security of the Service We do not warrant that the Service will meet your specific requirements or achieve any particular results. Use of the Service is at your sole risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: SYFRAH CONSULTING shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: • Loss of profits, revenue, or business opportunities • Loss of data or data breaches • Business interruption • Any damages arising from your use or inability to use the Service Our total liability for all claims related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) EUR 100. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless SYFRAH CONSULTING and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any third-party rights • Any content you submit or transmit through the Service • Your breach of applicable laws or regulations

11.1 By You You may cancel your subscription and terminate your account at any time through your account settings or by contacting support. 11.2 By Us We may suspend or terminate your account immediately if: • You breach these Terms • You engage in fraudulent or illegal activities • We are required to do so by law • We discontinue the Service (with reasonable notice) 11.3 Effect of Termination Upon termination: • Your right to access the Service ends immediately • You remain liable for any unpaid fees • Your data will be retained for 30 days, then permanently deleted • Provisions that by their nature should survive termination will continue to apply

12.1 Governing Law These Terms are governed by the laws of France, without regard to conflict of law principles. 12.2 Jurisdiction Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France. 12.3 Dispute Resolution Before initiating any legal proceedings, you agree to first attempt to resolve disputes informally by contacting us at contact@syfrah.com. We will attempt to resolve complaints within 30 days. 12.4 Class Action Waiver To the extent permitted by law, you waive any right to participate in class action lawsuits or class-wide arbitration against us.

13.1 Entire Agreement These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and SYFRAH CONSULTING regarding the Service. 13.2 Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. 13.3 Waiver Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 13.4 Assignment You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction. 13.5 Force Majeure We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control. 13.6 No Agency Nothing in these Terms creates a partnership, agency, or employment relationship between you and SYFRAH CONSULTING.
